International Commercial Arbitration
Cursusdoel
After completion of this course students are able to:
- have a deeper insight into alternative or out-of-court methods of resolving commercial disputes with international elements
- critically evaluate various methods to resolve commercial disputes
- identify factors that may be decisive in making an appropriate choice of a dispute resolution method
- demonstrate a deep understanding of the use of arbitration in the settlement of commercial disputes
Relationship between tests and course goals:
In this course, the final grade is based on four elements: assignment, paper, written exam and participation in class discussion/students presentations
1. Assignment: this tests your knowledge of the applicable law in international transactions, in particular, the United Nations Convention on Contracts for the International Sale of Goods and ability to apply the Convention in practice - by solving cases concerning international sales transactions, addressing topics such as contract formation, lack of conformity and remedies.
2. Paper: this tests your knowledge of international commercial transactions in the context of large multi-actor projects and ability to conduct a research on the junction of contract law, corporate law, international law, finance law, international relations and development studies.
3. Written in-class exam: this tests your knowledge of settlement of commercial disputes in international context, in particular issues pertaining to international litigation and arbitration and ability to apply relevant legal sources unified on the EU and/or on the international level.
4. Participation in class discussions/students presentations: this tests your ability to carry out legal analysis of relevant concepts and case law and tests your presentation skills.
Vakinhoudelijk
This course is divided into three parts. The first part is primarily devoted to procedural law, especially international commercial arbitration and procedural aspects of private international law. After a brief introduction into relevant aspect of international litigation, it provides an in-depth study of alternative or out-of-court methods of resolving commercial disputes with international elements. The alternatives to litigation areexamined, i.e., various out-of-court-settlement mechanisms, with a focus on commercial arbitration involving international elements. The topics to be discussed include the procedural framework and sources, public policy and mandatory rules, validity of arbitration agreement, the applicable procedural and substantive law, issues relating to the establishment of the tribunal, powers and duties of arbitrators and the conduct of arbitral proceedings. Particular consideration is given to the role of the national courts in arbitration. It is especially so with respect to the extent of judicial review in the proceedings for setting aside of the award and in the procedure for the enforcement of the award. When addressing the issues concerned a comparative approach is used. The topics are studied through the analysis of the different arbitration rules, arbitration statutes, international treaties and relevant case law.
In the second part international commercial transactions are reviewed in the context of large multi-actor projects like hydroelectric dams. International financial institutions like the European Investment Bank, states like Laos and engineering companies are concluding legal instruments to realize such dam and foster local development with the proceeds. The legal analysis of these actors, instruments and goals is combined with scholarly and critical reflection. Students gain insights on the junction of contract law, corporate law, international law, finance law, international relations and development studies.
The third part of the course will touch upon the applicable law in international transactions. In particular, the United Nations Convention on Contracts for the International Sale of Goods will be introduced. This Convention will apply in international sales transactions and provides an example of the law that may be applied in international commercial arbitration. Students will practice solving cases concerning international sales transactions and will, on the basis of this convention, discuss topics such as contract formation, lack of conformity and remedies.
Course Proceedings
The course will have a heavy emphasis on class participation and interactive learning. The class will meet twice a week. The general format of the course will be a combination of class discussions, seminars, mock sessions, student presentations, and lectures. The students are expected to complete assigned readings and projects prior to weekly meetings. First weekly sessions will start with brief student presentations that will review previous week’s material. A lecture or workshop that will complement the readings will follow. The second weekly sessions will involve class discussions and mock sessions.
